I love this card.
It is, potentially, very large, and can swing a game back in your favor if you are behind, so it has Timmy appeal.
It has an interesting mechanic to abuse, plus tricks with effects that rely on a card's printed power, so it has Johnny appeal.
If abused properly, it is actually quite a strong card in the right environment (hey, it was successfully used in competitive legacy decks), so it has Spike appeal.
It has awesome flavor and a cool art, so it has Vorthos appeal.
And it does all of these things while being strictly speaking very simple. Really, the only disadvantage is that it tends to be much less useful in commander (unless you have a Varolz-deck, I suppose).
Death's Shadow deserves a 5/5, not because of raw power, but because of excellent card design.
