This card seems overcosted (Travel Preparations gives two counters, and Prey Upon is only one mana).

Well, it is like prey upon, except it costs four times as much mana because it hands out one +1/+1 counter. The chance of this +1/+1 counter really mattering is somewhat tiny. This card is simply overcosted. They should at least have given it instant speed, so you could also play it as a combat trick.

They've thrown some lame support in for the +1/+1 creatures. Honestly, I'd just rather run the creatures themselves, with no support from the other cards that give a pitiful one counter. Kalonian Hydra can solo it :D
P.S. And oh yeah, wtf is with that art???

Without it, it's pretty sad, although in limited, green removal at common is never really terrible.

Wow -- such hate for what I've found to be a very decent card.
I had a chance to test it in M14 Duels of the Planeswalker. I thought it wasn't that good either... until I played it. Much better than you'd think.
It's great removal for green in limited. Wonderful in casual constructed with cards like Sengir Vampire and Spiritmonger. It essentially grants double the +1/+1 counters.

Not sure if it's completely fair to compare to Travel Preparations + Prey Upon, since it's a bit more colour intensive (I'm assuming we're talking about the 2 counters being applied once from the hand, once from flashback); including your flashback, you're looking at 5 CMC; and since it takes both effects and puts them into one card, it does leave a slot open.
I yanked 4 of these during prerelease and a couple of deathtouch creatures and was able to do well enough for 2-1-1 (enough for prizes), so for me, I like it. Your mileage may vary.
