@KnightLord77: Wizards is required to make crap cards. Not every card can be tournament worthy, and not every card is meant to appeal to every player, as evidenced by the Timmy/Johnny/Spike characters. Some cards have to be better than others, and sometimes this difference creates a truly abysmal card. While this card is bad, it isn't unplayable. it could potentially be used in an modular deck for some evasion, and there are always shenanigans to mess with the counters. Plus, it is a colorless artifact, so it is playable in any deck. The trick is to figure out where the drawback can be beneficial.
This still isn't a very good card though

I agree with rillaan - everything about this card is just plain awful. It's as if MTG is forced to make 10-20 useless cards per set. In general, paying 4 CMC for a 3/3 Flyer would be acceptable, but to have the creature lose a +1/+1 counter each time it attacks OR blocks??? Come on, Guys. Why...just, why?
