Yeah, without flash this is only 1/3 as good.
Yes but as it is you can't play it during or after your opponent's Combat phase.

how can you not love a faerie assassin. good for those pesky defenders you can't get rid of after combat phase, but not as useful elsewhere, 4 mana 2/2 flying is pretty tame.

Nice little surprise after combat has taken place. They'll usually be expecting Soul Reap or some other kill spell like Doom Blade. The upshot is that this can also target any creature as long as it was dealt damage. That's something that Death Mark, Go for the Throat, and other black kill spells cannot do. The exception is Murder, but for 
more, you can get a 2/2 flying creature with a useful tribe if you use this.
Also, combo's nicely with cards like prodigal pyromancer and Niv-Mizzet, Dracogenius =)
