Regarding flavour, i also love this card as counterpart to Soul Warden or Essence Warden.
On top of that, it's a simple one-drop that requires no further mana for the lifegain.
He's still a thousand times better than Grim Feast (although that's not a hard thing to do), a lot cheaper than Moonlit Wake and still rather superior to Soul Net.

Heheh, I see this and think of mirroden hacks: 2 Myr Retrievers and an Ashnod's Altar with this makes infinite life. Alternatively, though, it makes Disciple of the Vault infinite death, which is usually preferable, by they make for a nice counterpart.
Manipulate a deck around this and you can last for as long as it takes to drop those cabal coffers and drain away.

Yeah, but Soul/Essence Warden would do the same thing. the Disciple is intriguing tho, that would make a good deck if the Disciple wasn't a restricted card.

I think this is at least a 4, its great for any decks running black mana and like mentioned, a killer in multiplayer with Soul Warden, etc. People may not want to waste their time getting rid of a 1/1 creature sometimes, and these can be devasting after a few turns or played in multiples.
