The best use of a card like this is as a surprise when your opponent thinks they have you, swings with everything, and then you can pull the win out the next turn.
So it's a very situational card - probably better in draft than in constructed.

Well, if they have creatures attacking you every turn, why not just use this every turn? Slap this onto an Isochron Scepter and you're set

This card is really just a crutch, sure it can stave off death for maybe another turn or two, but it doesn't change board position and its very restrictive in that you need to be playing against an opponent that uses swarms of smaller creatures to overrun you. Isochron Scepter sounds like a rather neat idea, although if they are running any sort of removal, you'll be out two cards to their one.
